MASTER LICENSING AGREEMENT & TERMS OF SERVICE

1. NATURE OF LICENSE & OWNERSHIP

All music and audio products distributed by MbathaBeats™ are provided under a non-exclusive license.

  • Ownership: All compositions, masters, branding audio, and musical works remain the sole intellectual property of Njabulo Mbatha.

  • Usage Rights: Purchase grants usage rights only; no ownership or exclusivity is transferred. The same music may be licensed to multiple customers.

2. LICENSE TIER STRUCTURE

Usage rights are strictly defined by the specific tier purchased:

  • Tier 1 (Standard): Personal branding, solo creators, and small-scale commercial use (Organic Social only).

  • Tier 2 (Brand & Agency): Professional agencies and growth-stage brands. Permits paid advertising and client work.

  • Tier 3 (SoundMatrix™): Enterprise-scale broadcast, integrated media pipelines, and AI/ML-assisted workflows.

3. SOUNDMATRIX™ CLASSIFICATION

SoundMatrix™ is a proprietary licensing classification referring to structured media system usage, including:

  • Enterprise media pipelines and automated editing systems.

  • Platform libraries and data-assisted creative environments.

  • This classification does not permit the redistribution of audio as raw datasets or transfer of music data ownership.

4. PROOF OF AUTHORIZATION (THE "RECEIPT + CONTRACT" RULE)

A license is only legally valid when the user holds both the specific License PDF and a matching official Purchase Receipt. Use of MbathaBeats™ audio without both documents is considered unauthorized and a breach of copyright.

5. CONTENT ID & DIGITAL RIGHTS MANAGEMENT

  • Claim-Free Guarantee: MbathaBeats™ guarantees that no audio assets in our catalog are registered with automated Content ID systems (e.g., YouTube Content ID, Meta Rights Manager).

  • User Restriction: Licensees are strictly prohibited from registering MbathaBeats™ audio (or any derivative work containing our audio) with any Content ID, fingerprinting, or digital rights management service.

  • Enforcement: Any attempt to "claim" or "monetize" the raw audio through automated systems will result in immediate and permanent revocation of the license without a refund.

6. REFUND & CANCELLATION POLICY (ALL SALES FINAL)

  • Digital Nature: All products are high-value digital audio assets. Due to the immediate delivery of these assets, all sales are final.

  • No Returns: Once a purchase is completed and the download link is provided, the product is considered "consumed." We do not offer returns, exchanges, or cancellations.

  • Technical Issues: If you encounter a corrupted file, contact Njabulo Mbatha within 7 days for a functional replacement. This does not entitle the Licensee to a refund.

7. PROHIBITED USES

The Licensee may NOT:

  • Resell, redistribute, or sublicense the audio as a standalone product.

  • Claim authorship or upload music to libraries/stock platforms as their own.

  • Use the music in illegal, deceptive, or harmful content.

  • Use audio for AI training or dataset inclusion unless authorized under Tier 3.

8. PRICING & FINANCIALS

Final pricing is determined by the Product Value Logic (based on complexity and market demand) and the selected License Tier. Purchasing confirms acceptance of the applicable tier and its associated costs.

9. LIABILITY & GOVERNING LAW

MbathaBeats™ shall not be liable for indirect or consequential damages arising from the use of licensed audio. This Agreement is governed by and construed in accordance with the laws of the Republic of South Africa.

GOVERNING INTENT MbathaBeats™ operates under a purpose-driven creative philosophy focused on ethical media usage and value-driven music creation. All licensing is designed to support professional, respectful, and constructive creative environments.
